ARTICLE 2 – DEFINITIONS AND NATURE OF THE AGREEMENT

2.1. This agreement is entered into because the parties are "Merchants" acting for commercial/professional purposes and the orders are of a wholesale/production nature. It is NOT subject to the provisions of Law No. 6502 on Consumer Protection.

2.2. In the application and interpretation of the contract Turkish Commercial Code No. 6102 (TTK) And Turkish Code of Obligations No. 6098 (TBK) The provisions will be taken as a basis.

ARTICLE 3 – SUBJECT OF THE AGREEMENT AND ORDER DETAILS

The subject of this Agreement is the sale, production, and delivery of goods/products ordered/produced by the BUYER electronically through the SELLER's website, as well as the determination of the rights and obligations of the parties in overseas shipments within the scope of micro-export.

ARTICLE 4 – RIGHT OF WITHDRAWAL AND CANCELLATION CONDITIONS (B2B ARMOR)

4.1. Since the parties to this agreement are merchants and a commercial purchase and sale transaction is being carried out, the BUYER has an unconditional right of withdrawal within 14 (fourteen) days arising from Consumer Legislation. NOT AVAILABLE.
4.2. Orders approved and paid for by the BUYER cannot be unilaterally cancelled by the BUYER once they have been put into production, raw material procurement, or preparation by the SELLER.
4.3. No arbitrary return requests will be accepted without the SELLER's approval, and the BUYER hereby accepts and undertakes this condition in advance.

ARTICLE 5 – OBLIGATION OF INSPECTION AND REPORTING DEFECTS (TURKISH COMMERCIAL CODE ARTICLE 23)

5.1. The BUYER is obligated to inspect the ordered products upon receipt from the shipping/delivery company.
5.2. Any defects clearly visible upon delivery (dents, breakage, torn packaging, missing packages, etc.) must be reported immediately to the SELLER by having the courier fill out a "Damage Assessment Report" upon delivery. For shipments accepted without a report, it will be assumed that the products were delivered undamaged.
5.3. If hidden defects are detected in the products that are not apparent at first glance, the BUYER shall notify the BUYER within a maximum period from the delivery date. 3 (three) days The BUYER is obliged to notify the SELLER in writing within this legal period. If no notification is given within these legal periods, the BUYER will be deemed to have accepted the goods in their current condition.
5.4. Due to the dynamics of manufacturing (High Mix / Low Volume), millimeter-scale differences in tone, texture, or size resulting from hand craftsmanship or the natural structure of leather are not legally considered "defects".

ARTICLE 6 – MICRO-EXPORTS, DELIVERY AND CUSTOMS DUTIES (FOREIGN ORDERS)

6.1. Shipments outside of Türkiye's borders (abroad) are dispatched in accordance with the Electronic Commerce Customs Declaration (ETGB) or relevant export regulations.
6.2. Product prices and shipping costs include local customs duties, import taxes and other financial obligations of the BUYER's country. NOT INCLUDED (DAP – Delivered at Place delivery method).
6.3. The clearance of the products through customs in the BUYER's country and the payment of all import taxes and duties are entirely the personal/corporate responsibility of the BUYER. In the event that the products are held at customs, returned, or destroyed due to non-payment of customs duties, the SELLER accepts no legal or financial responsibility; the order price will not be refunded to the BUYER.

ARTICLE 7 – PROCESSING OF SECURITY AND PERSONAL DATA (KVKK)

7.1. The SELLER processes the BUYER's commercial and personal data within the framework of the KVKK (Law No. 6698) for the purpose of managing order operations, billing, and carrying out logistics processes.
7.2. The BUYER guarantees the accuracy of the billing and delivery information entered into the system. The BUYER is solely responsible for all administrative and financial penalties arising from the declaration of an incorrect or fictitious Tax Number/Company Name.

ARTICLE 8 – FORCE MAJEURE

Force majeure refers to unforeseen circumstances beyond the control of the parties that prevent them from fulfilling their obligations (natural disasters, war, terrorism, customs stoppages, raw material crises, epidemics, etc.). In the event of force majeure, the SELLER has the right to extend the delivery time.

ARTICLE 9 – COMPETENT COURTS AND ENFORCEMENT OFFICES

Consumer Arbitration Boards or Consumer Courts shall have jurisdiction in resolving any disputes arising from the implementation and interpretation of this agreement and the commercial relationship between the parties. He/She is not on duty. In all disputes Istanbul Commercial Courts and Istanbul Enforcement Offices He/She has absolute authority.

ARTICLE 10 – ENTRY INTO FORCE

This agreement, consisting of 10 (ten) articles, is concluded and enters into force between the parties as soon as the BUYER completes the "I have read and agree" process electronically and the payment step is finalized.
